This document (“Terms”) is an electronic record under the Information Technology Act, 2000 and applicable rules. This electronic record is generated by a computer system and does not require physical or digital signatures.

Welcome to *D2Bindia, a B2B wholesale platform for **fashion wear, garments, and seasonal apparel*.

These Terms form a legally binding agreement between *New World Exports* (“we”, “us”, “our”, or “D2Bindia”) and the business user (“Buyer”, “User”, “you”) accessing *[www.d2bindia.com](https://d2bindia.com)* (“Platform”) strictly for *business-to-business (B2B) commercial purposes*.

By accessing or using the Platform, you agree to these Terms along with all applicable policies including *Return Policy, Shipment Policy and Privacy Policy*.

--- ## 1. BUSINESS SCOPE
D2Bindia operates as a *B2B fashion & apparel wholesale platform*, dealing in:

* Fashion wear
* Seasonal wearr
* Garments & clothing productsr
* Textile-based products and accessories (as listed on the Platform)

All purchases are meant *only for resale, distribution, or commercial use*, not for personal consumption.

## 2. ELIGIBILITY
Only legally registered businesses holding valid GST or other required registrations are eligible to use the Platform. Individuals purchasing for personal use are not permitted.

## 3. PRODUCTS DISCLAIMER (IMPORTANT FOR FASHION)
* Product images are *for reference only*.
* Minor variations in *color, shade, texture, fabric feel, print alignment or stitching* may occur due to:
* Lighting
* Fabric batches
* Manufacturing processes
* Such minor variations *shall not be treated as defects*.

## 4. SIZES, FIT & MEASUREMENTS
* All sizes mentioned are *approximate industry-standard measurements*.
* ±5% variation in measurements is acceptable and *not considered a defect*.
* Buyer is responsible for verifying size charts before placing bulk orders.
* Size/fit preference issues *are not eligible for return* unless explicitly mentioned in the Return Policy.

## 5. SEASONAL WEAR CLAUSE
* Seasonal products (winter wear, summer wear, festive collections, rainwear, etc.) are ordered at Buyer’s business risk.
* Demand fluctuation, season change, slow sales, or unsold stock *shall not be grounds for return or refund*.

## 6. ORDERS & PRICING
* Once an order is accepted, it cannot be modified or cancelled.
* Prices are wholesale prices, exclusive or inclusive of GST as shown on invoice.
* Ownership of goods transfers after full payment; risk transfers upon delivery.

## 7. RETURNS & EXCHANGES (FASHION SPECIFIC)
Returns will be accepted *only* in the following cases:
* Manufacturing defect
* Wrong product delivered
* Transit damage

Returns will *NOT* be accepted for:
* Size or fitting issues
* Color difference due to screen/display
* Buyer’s unsold or slow-moving stock
* Seasonal demand changes
All returns are governed strictly by the *Return Policy* available on the Platform.

## 8. DELIVERY
* Delivery timelines are best-effort.
* Delays due to logistics, weather, strikes, or force majeure shall not be treated as breach.
* Buyer must inspect garments at the time of delivery.

## 9. PAYMENTS
* Payments must be made using approved modes.
* Any transaction or convenience fee is non-refundable.
* Refunds, if approved, will be processed as per policy and bank timelines.

## 10. INTELLECTUAL PROPERTY
All designs, images, product listings, logos, and content belong to *New World Exports* or respective licensors. Unauthorized copying, resale of images, or brand misuse is prohibited.

## 11. LIMITATION OF LIABILITY
* Products are sold on *“as-is” and “as-available”* basis.
* D2Bindia shall not be liable for indirect or consequential business losses.
* Maximum liability shall not exceed *INR 1,000 or invoice value (whichever is lower)*.

## 12. TERMINATION
We reserve the right to suspend or terminate accounts for:
* Policy violations
* Fraudulent activity
* Excessive disputes
* Misuse of Platform

## 13. GOVERNING LAW
These Terms are governed by Indian laws. Jurisdiction shall lie with courts in *India*.
